Welcome to ForthClear ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of the ForthClear Marketplace platform, including our website, services, and applications (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Platform.

2. Account Registration

To use certain features of our Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Roles and Responsibilities

3.1 Buyers

As a buyer on our Platform, you agree to:

  • Provide accurate and complete information when requesting quotes or placing orders
  • Communicate professionally with sellers
  • Complete payment for confirmed orders in a timely manner
  • Not engage in any fraudulent activities

3.2 Sellers

As a seller on our Platform, you agree to:

  • Provide accurate and complete information about your products
  • Set fair and transparent pricing
  • Fulfill orders in a timely manner and as described
  • Maintain adequate inventory of listed products
  • Ship products safely and with appropriate packaging
  • Respond to buyer inquiries and quote requests promptly

4. Prohibited Activities

You agree not to:

  • Use our Platform for any illegal purpose or in violation of any local, state, national, or international law
  • Violate or infringe upon the rights of others, including intellectual property rights
  • Interfere with the operation of our Platform
  • Engage in any activity that could harm our Platform or other users
  • Attempt to gain unauthorized access to our Platform or other users' accounts
  • Use our Platform to distribute unsolicited commercial messages ("spam")
  • Impersonate any person or entity

5. Fees and Payments

Forthcast charges fees for certain services provided through our Platform. All fees are clearly disclosed before you complete a transaction. We may change our fees at any time by posting the changes on our Platform.

You agree to pay all fees and applicable taxes associated with your use of our Platform. All payments are processed through our third-party payment processors. By providing a payment method, you authorize us to charge your payment method for all fees incurred.

6. Product Listings and Transactions

Sellers are responsible for the accuracy and content of their product listings. Forthcast does not warrant the accuracy, completeness, or quality of any products sold through our Platform.

All transactions between buyers and sellers are binding contracts between those parties. Forthcast facilitates these transactions but is not a party to them. We are not responsible for the fulfillment of orders, the quality of products, or any issues arising from transactions between buyers and sellers.

7. Intellectual Property

The content, organization, graphics, design, compilation, and other matters related to our Platform are protected by applicable intellectual property laws. You may not copy, modify, reproduce, republish, distribute, display, or transmit for commercial, non-profit, or public purposes all or any portion of our Platform without our prior written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORTHCAST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
  • ANY CONTENT OBTAINED FROM THE PLATFORM
  • UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

9. Disputes

If a dispute arises between you and Forthcast, we strongly encourage you to contact us directly to seek a resolution. If we cannot resolve the dispute directly, you agree that any claim or dispute between you and Forthcast that arises from these Terms shall be resolved exclusively through binding arbitration.

10. Termination

We may terminate or suspend your account and access to our Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of changes by posting the updated Terms on our Platform with a new "Last Updated" date. Your continued use of our Platform after any such changes constitutes your acceptance of the new Terms.
